Concerning the penis:

First, let’s start with the testicles. They house the reproductive organs that make semen. Semen needs a certain temperature to live. The body automatically expands or shrinks the testicle sack to moderate this temperature. In the cold, it shrinks to pull the testicles closer for body heat

For the actual penis, you have to basically consider a penis a living sponge. When it fills with blood, if expands. When there is less blood flow, or shrinks. Cold weather causes your capillaries and arteries to shrink, thus less blood flow. So your penis shrinks. Incidentally, this is also why your hands, fingers, feet, and toes get so cold, go numb, and or hurt in the cold.

Concerning nipples:

Your skin has smooth muscles that let it expand or shrink depending on your body temperature. When you are hot, they expand and allow you to sweat. When you are cold, they shrink up to conserve heat. This is why you get goosebumps (or goose pimples, whichever you call them) when you get cold. This is also what causes the nipples to get hard.
